EVENT TERMS & cONDITIONS

Steph Gold Life Coach, LLC (“SGLC” or “we,” “us,” or “our,” as applicable), which includes Steph Gold, SGLC team, volunteers, speakers, and affiliates, is the host for Now is YOUR Time 2019 Live Event (the “Event”) in Phoenix, Arizona on January 12, 2019.

It is the responsibility of the person or persons registering and participating in the Event (“you” or “Participant,” “Purchaser,” or “Registration,” as applicable) to read and understand these Terms and Conditions as outlined below regarding registration, payment and participation. These Terms and Conditions, and any program specific policies you receive from us by email, govern your participation in the Event. If you do not agree to these Terms and Conditions, you must cease your participation in the Event. By continuing your participation in the Event, you hereby agree as follows:

Non-Transferable

Registrations are specific to you and are non-transferable, except with the prior express, written agreement of SGLC.

Payment

An admission fee is due at the time of registration for the Event (“Registration Fee”) by credit card or other automatic electronic payment.

Refund Policy

Except as provided herein, the Registration Fee is non-refundable. Should the Purchaser choose to cancel their registration, SGLC shall not provide a refund of the Registration Fee. SGLC reserves the right to agree OR DECLINE the transfer of your registration to another Purchaser at the cost of the original Registration Fee.

Cancellation by SGLC

SGLC reserves the right to cancel the Event for any reason. If SGLC cancels the Event, Purchasers will be refunded their Registration Fee in full. If the Event is postponed for any reason, SGLC may issue a full refund of your Registration Fee OR MAY TRANSFER your registration to a similar event to be held at a later date, at the sole discretion of SGLC.

SGLC shall not be liable for any incidental costs incurred by Participants to attend the event, or any costs incurred by Participants as a result of cancellation or postponement of the Event, including where those costs are forfeited for any reason.

Copyright & Trademark Policy

Except as expressly stated in these Terms and Conditions, the Event and any promotional material leading up to the Event, and information, contents, and features related to the Event including, but not limited to, all information, interviews, presentations, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof (collectively, the “Materials”), are owned by us, our licensors, vendors, and affiliates, or other providers of such material. The Materials are and shall remain the property of SGLC and/or its licensors, vendors, and affiliates. The Materials are protected by United States and international copyright, trademark, and/or other intellectual property or proprietary rights laws.

Unauthorized filming of any portion of the Materials and/or distribution of recorded materials relating to the Event of any kind is strictly prohibited.

You agree not to copy, distribute, transmit, broadcast, display, publish, perform, or create derivative works of the Materials. Subject to your compliance with these Terms and Conditions, SGLC does grant to you a limited, personal, non-exclusive, revocable, non-transferable, and non-sublicensable license to access the Materials solely for personal, non-commercial purposes.

SGLC name, logo, and all related names, product and service names, designs, and slogans are trademarks of SGLC or our affiliates, vendors, or licensors. All trade names, trademarks, and service marks in the Materials that are not owned by SGLC or its affiliates are the property of their respective owners. The trade names, trademarks, and service marks owned by SGLC or its affiliates, whether registered or unregistered, may not be used in connection with any product or service that is not either ours or one of our affiliate’s product or service, or in any other manner that is likely to cause confusion or dilution. Nothing in the Materials should be construed as granting, by implication, estoppel, or otherwise, any right or license to use any of our (or affiliates’) trade names, trademarks, or service marks without our (or the relevant affiliate’s) prior express written permission. Other than nominative uses, you must not use such marks without SGLC prior written permission.

SGLC Video and Recording Rights

We reserve the right to video record and photograph the Event and to use, publish, reproduce, broadcast, modify and distribute such video recordings and photographs, including livestreaming any such video recordings or photographs. By attending the Event, you agree that you will not film or record any material presented at the Event either live or via livestream and you will not copy, distribute, display, perform, or create derivative works of any Material you may receive as a result of the Event without prior written permission from SGLC. You understand that copyright laws protect all information being presented at the Event as being owned by SGLC.

By attending the Event, you grant to SGLC a license to record and use your name, image, and likeness while you are present at the Event and after the Event. You also give permission to be featured in the Materials, whether directly or indirectly, including interviews, testimonials, advertising and promotional materials, press releases, and the like. Regardless of whether you are featured or not featured, you understand that SGLC shall retain all rights, title, and interest in and to the Materials. To the extent that you retain ownership, in whole or in part, of any rights in and to the Materials, you hereby grant to SGLC a royalty-free, worldwide, perpetual, irrevocable, transferable, sub-licensable right and license to make any use, including commercial use, of the Materials, including the right to use, reproduce, distribute, publish, display, broadcast, perform and modify the Materials in all forms and media now known or hereafter existing.

Release of SGLC and Limitation of Liability

You voluntarily release SGLC from any and all claims, known or unknown, in connection with your attendance at the Event and use of your Materials as described above, which you have consented to and authorized by accepting these Terms and Conditions.

You hereby indemnify, release and hold harmless SGLC, its officers, directors, shareholders, employees, representatives, agents, and affiliates for and from any and all claims, demands, actions, causes of action, suits, damages, liabilities and costs and expenses of every nature, including reasonable attorneys’ fees (collectively, “Damages”), relating to or arising out of (i) any material breach of the agreements, covenants, representations or warranties of SGLC contained in these Terms and Conditions; (ii) any infringement of the rights of third parties resulting from your participation in the Event; (iii) our use of your name, image, or likeness appearing in the Materials and/or recorded or photographed as a result of your participation in the Event; (iv) any accident or other occurrence causing injury to or death of any person or damage to property, by reason of your participation in the Event; (v) products liabilities to the extent attributable to the negligence of SGLC; (vi) any negligent act or omission of SGLC in connection with the performance of its obligations under this Agreement; and (vii) any and all claims for privacy, libel, slander, misappropriation or any other similar claims related to the Event.

IN NO EVENT: (a) WILL OUR LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE REGISTRATION FEE PAID BY YOU FOR THE EVENT; AND (b) WILL SGLC BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES. THE LIABILITIES LIMITED BY THIS SECTION APPLY: (i) TO LIABILITY FOR NEGLIGENCE; (ii) REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY, OR OTHERWISE; (iii) EVEN IF SGLC IS ADVISED IN ADVANCE OF THE POSSIBILITY OF THE DAMAGES IN QUESTION AND EVEN IF SUCH DAMAGES WERE FORESEEABLE; AND (iv) EVEN IF PLAINTIFF’S REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. IF APPLICABLE LAW LIMITS THE APPLICATION OF THE PROVISIONS OF THIS SECTION, SGLC’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE.

SGLC is committed to producing a high quality event, including bringing original Material to Participants. SGLC does not give any assurances or guarantees to Participants for achieving any specific results in your life as a result of participating. Results include personal, career, spiritual, social, physical, emotional, mental, or lifestyle results, such as financial results. SGLC and our speakers, in sharing on-stage or off-stage and in video their words, knowledge, experiences and perspectives, are not directing, promising or inducing you to any general or specific outcomes and are not liable for any way in which you may interpret or act upon the Material.

Your Representations and Warranties

You represent and warrant that you are over the age of 18 OR will be accompanied by a parent or guardian at all times during the Event. To the extent you attend event networking or socializing where alcohol may be served, you represent and warrant that you are over the age of 21. You represent and warrant that you have the power and authority to agree to these Terms and Conditions.

Governing Law; Dispute Resolution

These Terms and Conditions shall be governed by, and construed and enforced in accordance with, the laws of the state of Arizona, without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly disclaimed. Any cause of action by you with respect to the Event (including, but not limited to, these Terms and Conditions) must be instituted within one year after the cause of action arose or be forever waived and barred. You agree that any claim or dispute you may have against SGLC arising out of or related to attending or participating in the event must be resolved exclusively by a state or federal court located in Arizona, USA. You agree to submit to the personal jurisdiction of the courts located within Arizona, USA for the purpose of litigating all such claims or disputes.

The Event and related Materials are the proprietary property of SGLC. No right or license in or to any portion of the event or the Materials is granted to you except as expressly stated herein.
